Terms of Service
Effective date: to be filled at publication
This English text is provided for convenience. The Japanese version is the governing text; in case of any discrepancy, the Japanese version prevails.
These Terms of Service ("Terms") set out the conditions for using the online community "OKUGAI Salon" and related services ("the Service") provided by the OKUGAI Salon operator (legal name to be published at official launch). By completing member registration you are deemed to have agreed to these Terms.
Article 1 (Definitions)
- "The Service" means the online community OKUGAI Salon (including the Discord server known as "the hideout"), related content, tool sales and ancillary services.
- "Member" means a person who has agreed to these Terms and joined the Service through the prescribed procedure.
- "Content" means all text, images, video, data, verification reports, software and other materials provided within the Service.
Article 2 (Nature of the Service — Important)
- The Service exists for education, general information and community operation. It does not provide individual investment advice (recommendations of specific instruments, timing instructions, etc.) of the kind that would constitute a licensed investment advisory business.
- Verification results, analysis and opinions provided in the Service are general information and neither guarantee nor suggest future results.
- Final investment decisions are made at each member's own responsibility.
- Some of the operator's characters (cyber residents) are operated using AI technology, and this is publicly disclosed. Content is verified and supervised by the operator.
Article 3 (Admission and membership)
- Admission takes effect upon completion of the prescribed payment procedure.
- Minors may not join.
- Admission may be refused to persons previously suspended for violating these Terms or persons affiliated with anti-social forces.
Article 4 (Fees and payment)
- Fees are as displayed on the application page and are paid through the payment processor (Stripe).
- Fees renew and are charged automatically per contract term.
- Paid fees are in principle non-refundable, including mid-term withdrawal (no pro-rata refunds), except where the operator is unable to provide the Service for reasons attributable to the operator.
Article 5 (Withdrawal and cancellation)
- The service is a monthly contract that renews automatically each month unless renewal is stopped. As OKU-SO is capacity-limited, re-entry after leaving requires a fresh review and an available room.
- Members may stop renewal at any time from the payment platform's customer portal. Mid-term cancellation and pro-rata refunds are not available.
- After stopping renewal, no further charges arise and the Service remains available until the last day of the paid term.
Article 6 (Prohibited conduct)
Members must not engage in any of the following:
- Unauthorized reproduction, redistribution, resale or external sharing (including screenshots) of Content
- Unlicensed investment advisory conduct within the Service (including individual trade instructions or signal distribution to other members)
- Solicitation of other members for financial products, information products, multi-level marketing or similar schemes
- Infringement of the intellectual property, honor or privacy of the operator or third parties
- Defamation, harassment or impersonation of other members
- Interference with the operation of the Service, unauthorized access
- Provision of benefits to anti-social forces
- Any other conduct the operator judges inappropriate (including conduct contrary to the Code of the city)
Article 7 (Suspension and expulsion)
If a member violates these Terms, the operator may suspend or expel the member without prior notice. Paid fees will not be refunded in such cases.
Article 8 (Intellectual property)
Intellectual property rights in the Content belong to the operator or rightful holders. Members may use the Content only to the extent necessary to use the Service (use beyond personal use is prohibited).
Article 9 (Conditions for distributed tools)
- Indicators, verification tools and similar items distributed in the Service may be used only for the member's own learning and verification. Redistribution, resale and reverse engineering are prohibited.
- Tools are provided as-is with no guarantee of operation or results. The operator accepts no liability for damage arising from tool use.
Article 10 (Disclaimer)
- Foreign exchange margin trading (FX) and other investments carry no guarantee of principal or profit; losses may exceed deposited margin.
- The operator accepts no liability for the results of investment decisions or trades made by members based on information in the Service.
- The operator does not guarantee the accuracy, completeness or usefulness of the Service's content.
- The operator is not liable for damage arising from unavailability of the Service due to system failures or outages of external services (Discord, Stripe, etc.).
- Where the operator bears liability for damages, it is capped at the total fees paid by the member in the preceding 12 months (except in cases of intent or gross negligence by the operator).
Article 11 (Changes to or termination of the Service)
The operator may change, add to or terminate the Service with prior notice to members. Upon termination, paid fees corresponding to periods after the termination date will be refunded pro rata.
Article 12 (Personal information)
Handling of personal information is governed by the separately published Privacy Policy.
Article 13 (No assignment)
Members may not assign or lend their status or rights and obligations under these Terms to third parties.
Article 14 (Amendment of Terms)
The operator may amend these Terms when judged necessary. Amended Terms take effect upon notice within the Service; continued use after notice constitutes agreement.
Article 15 (Governing law)
These Terms are governed by and construed in accordance with the laws of Japan.
Article 16 (Jurisdiction)
Any dispute concerning the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance (provisional; to be finalized in the Japanese version at official launch).
